Term and Condition

Terms of Service of the Online Payment System Pay Solution (hereinafter referred to as “Terms of Service”), this is an agreement between Pay Solution Company Limited, its office is located at 90 CW Tower Building B, Floor 25, Unit B2502, Ratchadaphisek Road, Huay Kwang Sub-district, Huay Kwang District, Bangkok 10310, Thailand (hereinafter referred to as “Pay Solution”) on the one hand and the user of the online payment system Pay Solution (hereinafter referred to as the “Store”) on the other, where

1. Pay Solution is licensed to operate a payment service provider on its behalf. And providing support services to the recipient via electronic payment systems

3. Merchants wish to use the Pay Solution electronic payment system. To facilitate customers in making payments to merchants

1. Payment system service

The pay solution agrees to provide the service. and the merchant agrees to receive the payment system service and/or electronic services of the Pay Solution The system for receiving such payments consists of Full payment type Type of payment in installments by credit card where the merchant is responsible for interest and the type of payment in installments by credit card, where the customer is responsible for the interest which stores offer for sale and/or offer services on the website mobile application and/or selling through social media of the merchant under these terms and conditions of service (hereinafter referred to as the “Services”)


2. Terms of service of the payment system

2.1 Service under normal conditions accepts payment only for items with a value ranging from 5 (five) baht to 300,000 (three hundred thousand) baht per transaction only

2.4 Payment system service Type of payment in installments by credit card where the merchant is responsible for interest Must be a transaction with a value of 3,000 (three thousand) baht only per transaction or more
2.5 Payment system services. Type of payment in installments by credit card, where the customer is responsible for the interest. Customers can choose to pay by installments. and/or service by credit card of Kasikorn Bank and/or Siam Commercial Bank and/or Bangkok Bank and/or Krung Thai Bank and/or Bank of Ayudhya Krungsri Central The One Joint Card Krungsri Tesco Money Service and/or Krungsri First Choice Card only


3. Service fee

3.1 The Merchant agrees to pay the fee. and/or extra fees to the Pay Solution In return for the provision of services under the rate agreement between the Pay Solution and the Merchant
3.2 The Merchant agrees to pay a special fee to the Pay Solution. For the period that the customer chooses to pay for the product and/or services by means of payment in installments pursuant to Clause 2.3 of these Terms
3.3 Pay Solution reserves the right to amend the fees. and/or extra fees under contractual agreements which will notify the Merchant in writing not less than 30 (thirty) days before the change in the rate of such fee comes into force


4. Remittance of received payment

4.1 The Pay Solution will deliver funds that the Pay Solution accepts under a contract with the Merchant. From Sunday to Saturday of any week After deducting the fees under clause . and/or any other money stipulated in the contract entered into (if any) to the Merchant by Wednesday of the following week. with the method of depositing money into the merchant's deposit account according to the account details specified in the contract that has been made If the said delivery date is a holiday of Pay Solution or Bank Such money will be remitted to the merchant within the next business day.
4.2 For the purpose of calculating the amount received under the contract Both parties agree that any day's receipt of payment means any transaction occurring from 9:00 PM of the previous day to 8:59.59 of the said day
4.3 Merchant acknowledges and understands that merchants will not be able to claim damages if the store received money from the PayPal Solutions delay as informed by
4.4 in the case of merchant product pricing. and/or services in foreign currency rates The merchant agrees to pay the payment solution for the product. and/or services to merchants in Thai Baht According to the latest foreign exchange rates set by Pay Solution as of the date of the order. and/or services
4.5 In the event that either party finds that the amount remitted by the Pay Solution to the Merchant is greater or less than the amount that the merchant should receive according to the terms and conditions of the contract Such party shall notify the other party in writing as soon as possible. and both parties agree to jointly investigate such errors, provided that

1.) Both parties checked together and found that The amount that the Pay Solution delivers to the Merchant is greater than the amount the Merchant is to receive pursuant to the terms and conditions of the contract entered into. The Merchant shall repay such excess to the Pay Solution within 7 (seven) days from the date on which both parties have obtained the results of a joint investigation. at the store's own expense Or deducted from the amount of such excess to pay any solution must be delivered to the store under the terms and conditions of the contract made
2.) Both joint investigation found. The amount that the Pay Solution delivers to the Merchant is less than the amount the Merchant will be able to receive pursuant to the terms and conditions of the contract entered into. The Pay Solution agrees to remit the shortfall to the Merchant within 7 (seven) days from the date on which both parties have the result of a joint investigation. at the expense of the pay solution itself

4.6 In the event that the Pay Solution has any questions about its use and/or the validity of the credit card or in any event that may cause damage to the Pay Solution Pay Solution agrees to promptly notify the Merchant in writing. and the Merchant agrees that the Pay Solution shall have the right to withhold the funds which the Pay Solution must remit to the Merchant as to the item in question. or may cause damage to the said pay solution. and/or suspend the provision of services under the contract entered into
4.7 When in doubt about the use and/or the validity of the credit card or cause causing damage to the Pay Solution pursuant to Section .6 is terminated, the Pay Solution agrees to remit the money withheld pursuant to Section .6 to the Merchant within 90 (ninety) days from the date of Section .6. wonder or such event has ended


5. Transfer Fee

The Merchant acknowledges and agrees that the Merchant is responsible for all costs associated with the remittance of the Goods. and/or services or any amount under a contract made to the Merchant (if any), including without limitation any wire transfer fees charged by the Bank. The Pay Solution does not need to issue a receipt for any bank transfer fees charged by the bank to the merchant


6. Tax

Payment of all types of taxes and duties incurred in accordance with the contracts entered into shall be as stipulated in the Revenue Code


7. Cancellation of payment transactions

Merchants can cancel payment transactions under contracts. Subject to the following conditions:
7.1 The merchant can cancel the payment transaction. If the total amount of the payment transaction to be cancelled Less than or equal to the amount the Pay Solution must deliver to the Merchant and has not yet been delivered. The Merchant agrees that the Pay Solution shall deduct an amount equal to the total amount of the canceled Payments from any funds not yet remitted by the Pay Solution to the Merchant
7.2 Cancellation of the Payment must be canceled in full. the payment of that item, but if the merchant wants to cancel part of the transaction Pay Solution may consider canceling some of such payments on a case-by-case basis
7.3 The Pay Solution will proceed to cancel the payment to the Merchant at no additional charge. In the event that the Merchant cancels the payment transaction within 7 (seven) days from the date that the said transaction occurs. If the said period is exceeded The Merchant agrees that the Pay Solution will charge a fee for cancellation of the payment at the rate of 300 (three hundred) baht per transaction
7.4 The Merchant acknowledges and understands that Under no circumstances will the Pay Solution refund any applicable transaction charges


8. Dispute Payment Items

In the event that the Pay Solution is notified by the bank or any other type of Pay Solution Provider that a particular Merchant's Payment Transaction is non-billable. or the cardholder cancels or suspend the card or the bank or any other type of service provider of the Pay Solution if there is a suspicion of fraudulent credit card behavior; and the Pay Solution is required to reimburse the bank, any other type of Pay Solution Provider in connection with the payment transaction. or any other person The Merchant agrees that the Pay Solution shall deduct such amount from the purchase price. and/or services that the Pay Solution accepts for merchants under the contract it has entered into. and in the event that the amount received for payment of goods and/or services in which the Pay Solution is in receipt of payment to the Merchant under the contract for which it is less than the amount payable by the Pay Solution to the Bank. Other Types of Pay Solutions Providers or any such personThe Merchant agrees to pay the difference to the Pay Solution within 7 (seven) days from the date of receipt of written notice from the PaySolution


9. Functions of the shop

9.1. In the case of credit card payment or debit card The merchant must define the text on the website. Mobile applications and/or social media of the Merchant, the customer agrees to be charged via credit or debit card that the customer has given details to the store as well
9.2. In the case of payment by credit card or debit card The customer must fill in the credit card information. or debit card in person And the store will not store credit card information. or the customer's debit card is strictly prohibited
9.3. The Merchant agrees to sell the product. and/or provide services to customers at a price and/or a service fee that is not higher than the selling price and/or service fees charged by the merchant from the customers who pay for the products and/or services through other channels and the Merchant will not ask the Customer to pay any additional charges arising from the Customer's payment through the Services of the Pay Solution under the Contract entered into. and if there are any special services such as discounts, gifts, benefits or a free gift to customers who pay for the product and/or services through other channels The Merchant also agrees to provide those special services to customers who pay through the Services of the Pay Solution under the contract it has entered into
9.4. The Merchant agrees that the Merchant will display the following information on the Website. of the store clearly

1.) Name of the store
2.) Detailed information, characteristics and quality of the product and/or services
3.) price of goods and/or services
4.) details, procedures, methods and time of delivery and/or providing services to customers including the procedure for receiving the goods and/or receiving customer services as well as the store's restrictions on delivery of goods and/or providing services to customers
5.) Conditions for returning products and/or cancel the service and return of goods and/or services to customers
6.) location or office of the merchant;
7.) telephone number, fax or e-mail address; For the benefit of contacting customers
8.) Privacy Policy and store security policy

9.5. The Merchant agrees that

The Merchant will deliver such proof to the Pay Solution as soon as possible upon the Pay Solution request
9.7. and/or the provider of the Pay Solution on the Merchant's website. Stores must clearly display such marks, symbols or logos. and equal The Merchant agrees to abide by the terms and conditions of displaying the Pay Solution Mark, banks, credit card institutions and/or the Pay Solution Provider as may also be notified by the Pay Solution in writing from time to time
9.8. The store does not store information. or disclose credit card information or any debit card of the Customer and the Merchant will comply with the terms of the Card Industry Data Security Standard and/or any other relevant regulations issued by the Bank. credit card issuing institution and/or other types of service providers of the Pay Solution
9.9. The Merchant agrees to cooperate with the Pay Solution in any investigation process that the Pay Solution is legally obliged to perform. and/or according to the contract This includes, but is not limited to, Know Your Customer, Customer Due Diligence and Anti-money laundering
9.10. The Merchant agrees that The Merchant will notify the Pay Solution of any facts or information that may lead to a claim. claim damages or liability of the pay solution, bank, credit card issuing institution and/or the provider of the Pay Solution by and to a third party as soon as possible since the store became aware of the facts or such information
9.11. The Merchant agrees that In the case of information that the store delivers and/or disclose it to the PayPal Solution. including but not limited to form, type, nature of business Ownership Store name Website name Mobile application name social media and product list and/or services offered by the store and/or offers to provide services to customers have changed or is no longer true The Merchant will provide PayPal with the correct information within 7 (seven) days from the date of such change
9.12. The Merchant agrees that the Merchant will not offer to sell Products. and/or provide services that are contrary to any law, rule, regulation, regulation or order of a competent legal authority; unethical or good traditions of society or may affect the image of Pay Solutions, banks, credit card institutions and/or the provider of the Pay Solution which the Pay Solution may describe and product type and/or services which fall under the aforementioned terms to the Merchant from time to time in writing
9.13. The Merchant agrees not to provide the Services under the Contract to any third party or allow third parties to use the Services under contracts entered into without the written permission of PayPal
9.14. The Merchant agrees to be unlimited. or waive its liability by requiring the customer to waive their right to object. or the exercise of claiming that the merchant is responsible for any damages incurred by the customer as a result of the purchase of goods and/or receive services from the store in which the Customer pays through the Services of the Pay Solution under a contract entered into
9.15. The Merchant agrees that the Merchant will comply with any law, rule, regulation or order of the competent legal authority relating to the operation of the Store. trade throughout the period the contract entered into is in force
9.16. The Merchant acknowledges and understands that Stores are responsible for issuing receipts/tax invoices. or any other evidence of payment to the customer as required by law
9.17. The Merchant acknowledges and agrees that the Pay Solution is solely responsible for providing the payment processing system. and/or services on behalf of the store only Actions under a contract Pay Solutions does not act as an Agent, Broker, Venture Capital, Joint Venture. or being a partner between them in any way The Pay Solution has no knowledge of the contracts the Customer has entered into with the Merchant. or rights and duties that customers and merchants have against each other If any dispute arises due to the Merchant's failure to comply with the contract entered into with the Customer and/or the customer fails to perform their duties according to the contract entered into with the store, errors, delays, defects, damage, including the quality of the goods and/or services in any way The Pay Solution shall not be held liable, the Merchant assumes its sole responsibility


10. Shop testimonials

The Merchant represents that
10.1 The Merchant will conduct its business lawfully
10.2 The Merchant is legally authorized to conduct the Merchant's business
10.3 The Merchant will use the Services under contracts for the payment of goods. and/or services offered by the Merchant through the Merchant's website. mobile application and/or selling through social media which discloses only publicly verifiable sales information
10.4 Any information that the Merchant delivers or discloses to the Pay Solution under a contract entered into. or in connection with the provision of the Pay Solution to the Merchant; It is accurate, complete and true information


11. Deposit for the performance of the contract

11.1. In the event that the Merchant changes the list of products and/or services offered for sale and/or offer services or have payment or increased sales or significantly reduced or the Pay Solution receives frequent complaints about the Merchant from the Buyer, Service Provider, Payer, Bank or Pay Solution Provider. or the Merchant benefits from unlawful factors in the Merchant's business The Pay Solution may demand a security deposit for the performance of the contract it has entered into from the Merchant. in the amount specified by the pay solution (hereinafter referred to as The Merchant agrees to deliver such Security Deposit to PayPal within 30 (thirty) days from the date of written notice by PayPal. and agrees to allow PayPal to deduct such security deposit for damages. or any amount the Merchant will also be required to pay to the Pay Solution under the Contract
11.2. After the Pay Solution deducts the security deposit for damages or any amount the Merchant is required to pay to the Pay Solution under the contract. The Pay Solution will notify the Merchant in writing as soon as possible. The Merchant agrees to deliver the security deposit deducted by the Pay Solution to the Pay Solution so that the same amount of the security deposit will be made within 7 (seven) days from the date PayPal gives written notice
11.3. The Pay Solution will refund the security deposit. after deducting money to pay for damages or any amount the Merchant will have to pay to the Pay Solution under all contracts. to the merchant within 180 (one hundred and eighty) days from the termination of the contract


12. Consent to Disclosure

12.1. For the purpose of preventing or deterring fraud, when the bank or credit card issuing institution and/or the provider of the Pay Solution request or when the Pay Solution deems appropriate The Merchant agrees that the Pay Solution shall have the right to disclose information pertaining to the Merchant. store business The purchase of goods, provision of services, or receipt of services in connection with the provision of the services of the Pay Solution under this Agreement. to third parties as the Pay Solution deems appropriate. without requiring permission Or ask for consent from the shop first in any way and the merchant will not claim compensation. or claim any damages from the Pay Solution as a result of such disclosure
12.2. If the disclosure pursuant to Clause 12.1 causes a third party to claim damages from the PayPal, The Merchant agrees that the Merchant will be the one to negotiate a compromise. Settle a dispute and take all steps to protect the right to disclosure of the Pay Solution. and if the pay solution is damaged in any way The Merchant agrees to indemnify the Pay Solution immediately upon notice of the Pay Solution


13. Personal Information

The Merchant agrees and acknowledges that the PayPal Solution may collect, use or disclose personal information. including but not limited to Information according to the ID card Contact information required The location, biometrics of the authorized person of the store. and/or persons to whom the Store is provided to the Pay Solution and/or to which the Pay Solution has been obtained or collected from other sources or any other persons lawfully. For the purpose of considering the application for registration for the Pay Solution service. Verification/verification of identity, use of the Service, statistical analysis, data analysis to develop the Service or provide benefits that may be beneficial to the User in connection with the Service. or focusing on providing the store with good service support service Inquiries Sending information including any action for marketing purposes related to the service, such as offering benefits, goods and/or services,Any promotional items that the merchant may interest or benefit the merchant. through the notification channels of the Pay Solution and the contact channels that the users have notified, such as SMS, e-mail,Mobile phone number, etc., and the Merchant acknowledges that the Pay Solution may transmit or transfer the Merchant's personal information to an entity that controls the Pay Solution or is under the control of the Pay Solution. and legal entities under the same control as PayPal. This includes any legal entity or any other person to whom PayPal is a party or has a legal relationship. as well as third party persons or entities who are responsible for processing personal data both within and outside the country. Countries with insufficient standards for personal data protection required by law Pay Solution undertakes to implement appropriate personal data protection measures and comply with the standards required by law. Merchants can check and learn other details about the company's privacy protection policy at Privacy Policy


14. Limitation of Liability

14.1. The Merchant and the Pay Solution shall not be liable for damages resulting from the Merchant. or PayPal, as the case may be, unable to perform its duties due to force majeure
14.2. The Merchant agrees that Pay Solution shall not be liable for any damage resulting from the provision of services under the contract. except in the case where such damage is caused by action or intentionally neglects to act or gross negligence of PayPal


15. Confidentiality

The store agrees that The Merchant will maintain confidentiality of the information it receives from the Pay Solution in connection with the Services of the Pay Solution under contractual obligations. It will not disclose such information to third parties or use such information. for any purpose other than the exercise of its rights or performance of duties under the contract without prior written permission from the Pay Solution


16. Intellectual Property

The Merchant acknowledges and agrees that PAY SOLUTIONS INTELLECTUAL PROPERTY IN RELATION TO THE PAY SOLUTION SERVICES UNDER THE CONTRACT including but not limited to copyrighted works trademark and invention Whether legally registered or not, they are the intellectual property of Pay Solutions. In the event that the Merchant is required to use such intellectual property for the purposes of the contract The Merchant will use those intellectual property solely for that purpose. and the Merchant will not take any action, directly or indirectly, that impairs the intellectual property rights of the Pay Solution. or infringe on those intellectual property rights as protected by law


17. Right to Termination of the Pay Solution Agreement

17.1. The Pay Solution has the right to terminate the contract immediately. by notifying the store in writing In the following cases

1.) The shop violated or breaching any of the contracts made in the contract
2.) There are grounds for PayPal to believe that the Merchant will not be able to perform the Merchant's duties or in breach of warranties under the Contract. or the duty of the merchant under the contract of sale and/or service contracts between merchants and paying customers
3.) The Merchant changes the form, type and/or nature of the Merchant's business. including but not limited to store name, website name, mobile application name Name and/or type of social media and product list and/or services offered by the store and/or offer services to customers and PayPal considers the change to increase the risk of the Merchant's business beyond what is to be tolerated by the Pay Solution
4.) The store has a payment balance. or increased sales or significantly reduced or PayPal frequently receives Merchant complaints about the Merchant from its purchaser, service provider, payer, bank or service provider, or the Merchant has benefited from unlawful factors in its business
5.) The store was sued for bankruptcy. and/or bankruptcy, business rehabilitation, insolvency custodian or committing or participating in the commission of a preliminary offense under the Anti-Money Laundering or Financial Support for Terrorism Act;

17.2. Termination of the Agreement pursuant to Article 17.1 does not affect the Pay Solution's right to claim damages from the Merchant.


18. Amendments to the Terms of Service

The Merchant acknowledges and agrees that The Pay Solution has the sole right to modify, change and/or add to the Terms of Service. by notifying the Merchant in writing not less than 30 (thirty) days prior to the amendment, change and/or such additions are effective.


19. Failure to exercise the right does not constitute a waiver of the right

that either party does not exercise the right or delay their rights It is not considered that that party has waived such right. and that either party waives some of their rights It is not considered that the other party has waived other rights as well.


20. Segregation of Contracts

If any contract is void or incomplete for whatever reason Both parties agree to separate the void or incomplete portion of the other contractual clauses and that the intact portion of the contract will continue to be binding between the parties.


21. Governing Law

These terms of service to be enforced and construed in accordance with the laws of Thailand regardless of the conflict of law provisions
